THE
CONSTITUTION
AND
BY-LAWS

ARTICLE I

Name:

This Association shall be known as the Wizards Tennis Association.

ARTICLE II

Purpose:

The Wizards Tennis Association is organized to bring about a covenant whereby duly constituted tennis activities in North Carolina and surrounding states will be encouraged. Likewise the association will promote enthusiasts to engage in competitive tennis activity throughout the year ancillary to the development and promotion of junior tennis.

ARTICLE III

Membership:

Membership to the Wizards Tennis Association is open to all genuinely interested persons regardless of ethnicity or religious preference. The membership is governed by this Constitution and By?Laws. Applications for membership and membership fee will be submitted for approval by the association.,

ARTICLE IV

Membership Fee:

A $10.00 initiation fee and $5.00 annual fee will be assessed for all members.

ARTICLE V

Committees:

Section 1. Standing Committee will be appointed by the President of this Association.

Section 2. Ad Hoc Committees will be appointed by the President of this Association.

ARTICLE VI

Meetings:

Section 1. Membership meetings shall be held at such time and in such place as the President shall designate. All members shall be notified of such meetings at least fifteen days in advance. Quarterly meetings will be held based upon the calendar year (March, June, September, and December). Guests and non?voting members are welcomed at all meetings unless otherwise specified.

Section 2. The annual meeting for the election of officers shall be held in the month of December. The terms of service are delineated in ARTICLE X; Section 5.

ARTICLE VII

Amendments:

This Constitution may be amended by a two?thirds (2/3) vote of the members (to include three?fifths (3/5) of the Officers) who are present at any membership meeting. Proposed amendments shall be presented in writing by the secretary to all members in good standing at least two (2) weeks prior to the meeting. Proposed amendments may be made by any member.

ARTICLE VIII

Authority (Business and Tennis Play):

Roberts Rules of Order shall be the parliamentary procedure adopted by this association for conducting business and The United States Tennis Association (USTA) will govern tennis play.

The Wizards Tennis Association will be the final authority on all matters and issues affecting the management and operation of this organization and will exercise discretionary powers over unique issues, rules, and regulations not covered by the USTA.

ARTICLE IX

Meetings of Members:

Section 1. Place of Meetings. All meetings of members shall be held at such place as shall be designated in the notice of Meetings by the President, or his designee.

Section 2. Annual Meeting. The annual meeting of the Association shall be held in December for the purpose of electing the Officers and the transaction of such business as may be properly brought before the meeting.

Section 3. Special Meeting. Special meetings of the Officers or Members may be called at any time by the President. Any other Officer may petition a special meeting through the President or the Secretary to the President by telephone or submitting in writing to same, the event or issue and consent or signatures of three?fifths (3/5) of the Officers or two?thirds (2/3) of the members present.

Section 4. Notice of Special Meeting The Secretary must be notified in writing, telephone, or by mail before the date of any Officers or Members meeting, by or at the direction of the President, or any such other person calling the meeting.

Section 5. Quorum. In order to conduct a meeting and transact business, three?fifths 3/5) of the Officers must be present. The Members present at the duly organized meeting may continue to transact business until adjournment, notwithstanding the withdrawal of enough Members to leave less than a quorum.

Section 6. Proxies, Each Member has one vote and may cast in person only. The President does not have veto authority; but will be utilized to break ties.

ARTICLE X

Officers:

Section 1. General Powers. The affairs of the Association shall be managed by its Officers, which may exercise all such powers of the Association and do all such lawful acts as are not by statute or by these By?Laws directed or required, including specifically, but not limited to, the power to contract, making of loans and execution of evidence of debt, the power to authorize Officers to sign checks, drafts, etc. and the power to select depositories, in the Associations' name.

Section 2. Vacancies. Any office vacancy occurring of the Officers may be filled by the affirmative vote of a majority of the remaining Officers though less than a quorum of the Officers. An Officer elected to fill a vacancy shall be elected for the unexpired portion of the term of his predecessor in office.

Section 3. Compensation, 11c Officers, by the affirmative vote of a majority of the Officers then in office, and irrespective of any personal interest of any of its members, shall have authority to establish reimbursement of the payment of out?of?pocket expenses incurred by Officers, or their designee; but shall have no authority to establish compensation for Officers for service to the Association as Officers or otherwise no part of the Association's income shall inure to the benefit of any of its Officers, Members, or any other private individual, group, corporation or association.

Section 4. The Officers shall consist of: President, Vice President, Secretary, Treasurer, and Program Coordinator. No person may hold more than one office at the same time.

Section 5. Term and Qualifications, Each Officer may serve a term of one year. Reelection of an Officer may serve as long as his or her Members permits him or her.

The Officer shall hold office until his death, resignation, retirement, removal, disqualification or his successor shall have been elected.

Section 6. President. The President shall be the principal executive officer of the Association, and subject to the control of the Officers and members, shall, when present, preside at all meetings of Officers and Members, and be an ex?officio member of all committees. He shall have the power to appoint special committees as he deems necessary or as directed by the Officers. He shall have the power to appoint or remove chairpersons from standing committees with cause and two?thirds (2/3) support of the Officers. He shall sign with any other proper Officer of the Association thereunto authorized by the Officers and contracts, checks or other instruments to be executed, except in cases where the signing and execution thereof shall be expressly delegated by the Officers or by these By?Laws to some other Officer of the Association, or shall be required by law to be other wise sign or executed; and in general he or she shall perform all duties incident to the office of President and such other duties as may be prescribed by the Officers and Members of the Association from time to time.

The President can serve a term of one year. He can be re?elected for as long as the Members will elect him or her.

Section 7. Vice President. In the absence of the President or in the event of his death, inability or refusal to act, the Vice President, unless otherwise determined by the Officers, shall perform the duties of the President, and when so acting shall have all of the powers of and be subject to all the restrictions upon the President. The Vice President shall perform such other duties as from time to time may be assigned to him/her by the President or two?thirds (2/3) of the Members present.

The Vice President can serve a term of one year. He can be re?elected as long as the Members elect him or her.

Section 6. Secretary, The Secretary shall: (a) keep the minutes of the meetings of Members and Officers (b) see that all notes arc given in accordance with the provision of these By?Laws or as required by law; (c) sign with the President or Vice President documents of the Association the issuance of which shall have been authorized by resolution by the Officers; (d) keep or cause to be debt a record of the Association's members, giving the names and addresses of all members and the class or members, and prepare of cause to be prepared a voting list prior to each meeting of members as required by law; (f) in general, perform all duties as from time to time may be assigned to him/her by the President. In the absence of the Secretary, the President will be notified prior to the absence in order to delegate the secretarial responsibilities.

The Secretary can serve a term of one year. He/she can be re?elected for as long as the Membership elects him or her.

Section 7. Treasurer. The Treasurer shall; (a) have charge and custody of and be responsible for all funds and securities of the Association; receive and give receipts for money due and payable to the Association from any source whatsoever, and deposit all such moneys in the name to the Association in such depositories as shall be selected in accordance with the provisions of Section 4 of Article III of these By?Laws; (c) prepare or cause to be prepared, a true statement of the Association's assets and liabilities each month of the year and present at all meetings in reasonable detail (subject to review at anytime); in general, perform all of the duties incident to the office of Treasurer and such other duties as from time to time may be assigned to him or her by the President or these By?Laws. In the event of the Treasurers absence, the President shall be informed of the current financial status of the Association.

The Treasurer can serve a term of one year. He or she can be re?elected for as long as the members elect him or her.

ARTICLE XI

Contracts, Loans, Checks and Deposits:

Section 1. Contracts. The Officers may authorize any Officer or agent of the Association to enter into any contract or execute or deliver any instrument in the name of and on behalf of the Association, and such authority may be general or confined to specific instances.

Section 2. Loans. No loans shall be contracted on behalf of the Association and no evidence of indebtedness shall be issued in its name unless authorized by a resolution of the Officers. Such authority may be general or confined to specific instances.

Section 3. Checks and Drafts. All checks, drafts or other orders for the payment of money, issued in the name of the Association, shall be signed by the Treasurer and shell be co?signed by the President or Vice?President or Secretary or Program Coordinator, in that order.

Section 4. Deposits. All funds of the Association not otherwise employed shall be deposited from time to time to the credit of the Association in such depositories as the Officers may select.
